Our Commitment to You

For clarity, we mean Nortrak Limited in these terms when we use “Nortrak”, “the company” or “us”

You are referred to as the “Customer” or “Client” or “You” throughout.

Nortrak will supply the Airtime Data (mobile data) through this agreement with the reasonable skill and care of a competent service provider.

Nortrak shall be entitled to change the way it provides Airtime Data, provided that any change to the way it delivers such service is not to the material detriment of our customers.

Nortrak reserves the right to move or change to another data service or telematics platform provider.

Nortrak does not guarantee that the Airtime Data or it’s telematics platform will be continuously available and/or fault-free. The Customer acknowledges that faults may, or can occur from time to time. 

Nortrak will use all reasonable endeavours to provide the Airtime Data and telematics platform subject to technical and commercial feasibility.

Nortrak reserves the right to alter, amend or update this agreement.

Any notice required under this Agreement, will be sent by e-mail (For clarity, it will be the email information you have registered with us).

Nortrak Data SIM cards are for exclusive use in Nortrak supplied products only.

Airtime Data allowance is pooled so that you can get the best performance from your device. Data peaks and troughs are shared amongst our users. This method enables us to keep our costs competitive for you.

Your Obligations

The Customer shall not assign or transfer this Agreement to any Third Party without the prior written and signed consent of Nortrak’s Directors (which shall not reasonably be withheld).

The customer shall remain liable for all charges levied in accordance with this Airtime Data agreement, even during any period of suspension arising from any circumstances beyond our control. I.e. Telecoms Network Operators.

Airtime Data charges are fixed rate per calendar month. The charges are exclusive of value added tax which will be charged at the prevailing rate.

The customer shall pay all the Airtime Data charges in full without any deduction or set off.

The customer shall maintain email and personal details up to date, including any payment methods.

Cancellation

You can cancel this airtime agreement at any time by giving us notice in writing by any method.

You must pay the fixed monthly rate up to the point of cancellation. No partial rate will be refunded.

If cancelled within the first 30 days, a sim activation fee of £12.50 plus Vat at the prevailing rate will also be charged.  

You do not need to fill in a cancellation form, however we do provide one for you here.

Late payments

Without prejudice to any other rights of Nortrak;

In the event of the customer failing to pay sums due to Nortrak on time, or at all, Nortrak shall be entitled to charge interest (both before and after any judgment) on amounts overdue from the customer under this agreement from the due date until the payment is actually made, at the rate of 6% per annum over the base rate of the Bank Of England for the time being during the relevant period.

Nortrak may suspend or terminate the provision of any Service with as much prior notice as Nortrak considers to be reasonably practicable. 

Nortrak may, where requested by, or on behalf of a regulatory body, or required to do so by law, suspend or terminate any Services provided under this Agreement.

In the event that Bankruptcy or Insolvency proceedings are brought against the customer, or if a Voluntary Arrangement with creditors is made, or a Receiver or Administrator is appointed over any of the customer’s assets, or the other party goes into Liquidation, then this Data Agreement with Nortrak will terminate with immediate effect.

Governing Law

This agreement, and any issues or disputes of whatever nature arising out of or in any way relating to it or its formation (whether such disputes are contractual or non-contractual in nature, such as claims in tort, for breach of statute or regulation, or otherwise) shall be governed by and construed in accordance with the Laws of England and Wales. 

Nortrak and its customers agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
